Milan, 3 July 2026KYIP Capital, an independent asset management company specialized in growth buy-out transactions, announces the acquisition, through its KYIP Investment Fund, of a majority stake in Gestecno S.r.l. (“Gestecno”), an Italian company that is a leader in the design, production and marketing of advanced systems for structural health monitoring (SHM) and geotechnical monitoring (GTM) of infrastructure and civil engineering works.

The transaction was carried out entirely with the fund's own resources and saw the reinvestment of the founding shareholders, who will continue to actively contribute to the company's development path, confirming their shared commitment to the industrial project and their commitment to supporting its next phase of growth.

Founded in 1992 in Castelraimondo (Macerata), Gestecno develops and manufactures sensors, dataloggers and monitoring systems for structures such as bridges, tunnels, motorways, buildings and civil engineering works. The company generates around 80% of its revenue in Italy and mainly serves system integrators and engineering firms through a highly efficient production model, based on largely in-house design, procurement and manufacturing. Thanks to strong proprietary know-how, Gestecno offers advanced, highly reliable solutions for structural diagnostics. In 2025, the company recorded EBITDA of around €3 million.

KYIP’s investment is being made in a highly attractive market, with growth rates of around 10% per year, driven by structural trends such as ageing infrastructure, evolving regulatory requirements on the safety and monitoring of existing structures, an increase in extreme weather events, and the steady rise in investment dedicated to the maintenance and safety of infrastructure. Against this backdrop, Gestecno stands out for a competitive positioning based on manufacturing excellence, the quality of its solutions and a high level of customer service.

“Gestecno is a genuine example of Italian excellence, with strong proprietary technological know-how and a manufacturing capability firmly rooted in our country. Over the years, the company has built a significant competitive advantage thanks to the quality of its technologies and the efficiency of its business model. With this investment, we intend to support the founders and management in a new phase of development, making our expertise available to help Gestecno move from a supplier of sensor technologies to an integrated technology platform for infrastructure monitoring,” said Gianluca Losi, Chief Executive Officer and Founding Partner of KYIP Capital.

The transaction marks the start of a new phase in the company’s growth path and aims to accelerate its development through the strengthening of its commercial structure, expansion into international markets, increased production capacity and an expanded range of technology solutions dedicated to infrastructure monitoring. The industrial plan may also include targeted, complementary acquisitions aimed at strengthening the product portfolio and technological expertise.

“KYIP Capital’s investment is an important step in Gestecno’s growth path. We have built this company over more than thirty years, investing consistently in expertise, innovation and manufacturing quality. Our decision to reinvest alongside the Fund stems from our conviction that KYIP is the right partner to accelerate our development path, while preserving the industrial continuity and values that have always defined the company,” said Francesco Pascarella, Chief Executive Officer and Founding Shareholder of Gestecno.
